General Terms and Conditions

A. General provisions

1. Acceptance — These terms apply to all business relations, transactions, consultations, and contract negotiations. Modifications require written agreement.

2. Offers — Offers are non-binding. Product changes during development are permitted.

3. Order confirmation — Orders become binding only upon written confirmation.

4. Place of performance and jurisdiction — Bistrița is the place of performance and jurisdiction. Romanian law applies.

B. Payment terms

1. Payment is due upon receipt of invoice, at the latest at risk transfer. Late payments incur interest of at least 1 % over the discount rate of the Romanian National Bank (BNR).

2. Large orders and custom items require a proportional advance payment.

3. Retention of title — Goods remain our property until all obligations are fulfilled.

C. Delivery terms

1. Force majeure (strikes, mobilization, war, import/export bans, other circumstances beyond our control) entitles us to postpone delivery or withdraw from the unfulfilled portion.

2. Delivery times — Stated dates are non-binding. Compliance requires the buyer to fulfil contractual obligations on time, especially payment.

3. Shipping and risk transfer — Risk transfers upon handover to the carrier, loading of the vehicle, or departure from our facility — whichever happens first. Insurance is arranged only at the buyer’s request and expense.

D. Defects and warranty

1. Obvious defects must be reported in writing within 14 days of receipt; hidden defects within 14 days of discovery.

2. Warranty runs for 100 operating hours or 6 months, whichever comes first. For third-party components, warranty is limited to the assignment of manufacturer claims.

3. Damage claims — where legally permissible — are excluded; otherwise limited to the value of the goods; they expire six months after risk transfer.

E. Miscellaneous

Contract modifications require written form. Should any provision be invalid, the remaining provisions remain in force; an invalid provision is replaced by a rule that best serves the economic purpose of the contract.
